Terms of Service

These Terms of Service ("Terms") govern your purchase and use of the software packages and related services provided by Snodgrass Ventures ("we," "us," or "our"). By purchasing a package or using our services, you agree to these Terms.

1. Services & software packages

We are an authorized software reseller offering business software packages that may include e-commerce software, marketing automation tools, AI tools, and related configuration, onboarding, and support services. The specific components included depend on the package you purchase, as described at the time of sale.

2. License

Upon purchase and payment, we grant you a non-exclusive, non-transferable license to use the software and tools included in your package for your own business operations, subject to these Terms and any third-party terms applicable to underlying platforms. You may not resell, sublicense, or redistribute the software except as expressly permitted in writing.

3. Fees & payment

Packages are offered for a one-time fee as stated at the time of purchase. Fees are payable in full unless a written payment arrangement is agreed. All fees are exclusive of applicable taxes. Third-party services (such as payment processors, hosting, or messaging providers) may carry their own separate fees billed directly by those providers.

4. Refunds

All sales are final except as described in our Refund & Returns Policy: you may request a full refund within 72 hours of purchase provided implementation work has not begun. See the full Refund & Returns Policy for details.

5. Acceptable use

You agree not to use the software or services to:

  • Violate any applicable law, regulation, or third-party right;
  • Send unlawful, deceptive, or unsolicited communications in violation of anti-spam or telemarketing laws;
  • Transmit malware, or attempt to gain unauthorized access to any system;
  • Infringe intellectual property or misappropriate confidential information; or
  • Engage in fraudulent, harmful, or abusive activity.

6. Client responsibilities

You are responsible for providing accurate information, timely access, content, and approvals needed for us to deliver your package. You are responsible for the legality of your business, the products and services you sell, your customer communications, and compliance with all laws that apply to your operations. You are responsible for maintaining your own accounts, credentials, and data backups.

7. Intellectual property

All underlying software, platforms, templates, and materials remain the property of their respective owners and us, as applicable. Content you provide remains yours, and you grant us a limited license to use it solely to deliver and support your package. Configurations built for you may be used for your business under the license granted in Section 2.

8. No income or revenue guarantee

We provide software and setup services only. We make no guarantee of any business outcome, sales, revenue, profit, or income. Any examples or discussion of possibilities are illustrative only and are not a promise of results. Your results depend on factors outside our control.

9. Limitation of liability

To the maximum extent permitted by law, Snodgrass Ventures will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the services or software. Our total aggregate liability for any claim will not exceed the amount you paid for the package giving rise to the claim. The software and services are provided "as is" and "as available" without warranties of any kind except as expressly stated.

10. Third-party services

Our packages may rely on or integrate third-party platforms and services. We are not responsible for the availability, performance, or acts of those third parties, and your use of them is subject to their own terms.

11. Changes to these Terms

We may update these Terms from time to time. Continued use of the services after an update constitutes acceptance of the revised Terms.

12. Governing terms

These Terms constitute the entire agreement between you and Snodgrass Ventures regarding the services and supersede prior agreements on that subject. If any provision is found unenforceable, the remaining provisions stay in effect. These Terms are governed by the laws of the jurisdiction in which Snodgrass Ventures operates.
